Digital Schuldschein issuance

There is hardly a more successful financial instrument than the Schuldschein - a traditional German debt instrument. Although it is already a standard product, reinventing it has proven to be a worthwhile undertaking.

A seamlessly digital process

So, why is that the case? Klaus Schuler, head of CRM Large Corporates at Helaba and Dr. Peter Kollmann, CFO of Verbund AG, who collaborated in settling the first Schuldschein in a seamlessly digital process, explain the reasoning behind this rethink.

The vc trade platform

Stefan Fromme, co-founder and managing director of vc trade, has also dedicated himself to digitising the process of issuing Schuldschein notes, the majority of which is standardised. The result is a platform solution that reproduces the whole established process, from the issuer all the way to the investor with the participation of the bank, in a fully digital format. Issuers, investors, the arranging banks as well as lawyers and rating agencies benefit from a seamless and transparent channel of communication, shared data and document room as well as from built-in interfaces to the settlement systems. In this way, the vc trade platform enhances the transparency, efficiency and speed of the issue and significantly reduces the costs of the transaction.

Helaba, as one of the leading arrangers of Schuldschein loans, recognised the potential of the digital platform at an early stage. "We contribute the transactions and the investors and the platform then helps to make the lending process faster and more efficient," says Andreas Petrie, who is responsible for primary market activities at Helaba.

Helaba was able to secure Verbund AG, Austria's leading electricity generator, as the first-ever issuer on vc trade. For the energy company, which generates most of its energy from hydroelectric power, the bank successfully placed a 10-year "green" Schuldschein in an amount of 100 million euros.

"We are delighted that it was possible to place the Schuldschein within the envisaged timeframe and at the agreed conditions," stresses Peter Kollmann, CFO of Verbund AG. "Digital issuance using vc trade in combination with Helaba's long-standing expertise has proven its worth".

For Stefan Fromme, co-founder and managing director of vc trade, the launch of the platform was also a success: “In Helaba, we are happy to have found a very experienced partner whose farsighted vision and desire for innovation have played a critical role in accompanying and supporting us on our way to the issuing the first transactions. The pending deal pipeline shows us that we are on the right track."
